GENERAL TERMS AND CONDITIONS OF SALE

ARTICLE 1 - CONTRACT CONCLUSION

Any order of products implies full acceptance of these general terms and conditions of sale, supplemented or modified by our specific conditions, which supersede any contrary clause that may appear in purchasing conditions, order forms, or other commercial documents.

ARTICLE 2 - PRICES

 

Goods are invoiced at the rate in effect on the order date. The general price list is appended to these terms and conditions. Prices may be revised with prior notice of 30 days.

ARTICLE 3 - DELIVERY

 

Delivery is made either by direct handover of the product to the buyer, by notification of availability, or by dispatch to a shipping agent or carrier at the seller’s premises or any other designated location. The buyer must check the goods upon receipt. In case of damage, shortage, or apparent defect, or non-compliance of the delivered product, the buyer must issue specific, clear reservations, notifying the seller or carrier in writing within three days of delivery. The buyer must provide all evidence of observed anomalies.

If delivery is impossible due to an incorrect delivery address or failure by the customer to collect their order from the designated pickup point, no reshipment will be made.

ARTICLE 4 - DELIVERY TIMES

 

Delivery times are provided based on supply availability. Except in cases of force majeure (war, riot, fire, partial or total strike, etc.), if delivery is delayed by more than 7 days beyond the indicated delivery date, the buyer may cancel their order without entitlement to compensation.

ARTICLE 5 - RETURNS

 

All product returns require formal agreement between the seller and the buyer.

ARTICLE 6 - WARRANTY

 

The seller will take the utmost care in fulfilling the order and ensuring product quality. In the event of a defect acknowledged by the seller, their obligation will be limited to replacement or refund of the defective quantities, without further compensation. Excluded from the warranty are defects and damages resulting from storage, handling, transport, or use under abnormal or unsuitable conditions contrary to the product’s nature, specifications, or suitability.

ARTICLE 7 - PAYMENT

 

Unless otherwise agreed, invoices are payable at the time of order.

ARTICLE 8 - RETENTION OF OWNERSHIP

 

Goods sold remain the property of the seller until full payment of their price. However, risks associated with the goods will transfer to the buyer or carrier upon physical handover of the products.

ARTICLE 9 - JURISDICTION

 

These conditions supersede and replace previously applicable conditions. Any dispute relating to these terms will fall under the jurisdiction of the Commercial Court of Annecy.
